The annual shareholders meeting of the Ukrainian Exchange has held
On April 26, 2016 the annual shareholders meeting of the Ukrainian Exchange has held. According to the agenda shareholders have considered reporting and organizational issues.
At the meeting have been heard and approved next reports:
- CEO, Oleg Tkachenko reported about activity of the exchange in 2015;
- The Audit commission reported about results of the audit of financial activity of the exchange in 2015;
- The Exchange Board reported about it activity in 2015;
- The main activities of the exchange for 2016 are also approved.
Due to the entry into force since May 1, 2016 the law of Ukraine "About making alteration to some legislative acts of Ukraine in relation to the protection of rights for investors" (on April, 7, 2015 N 289-VIII) have made corresponding changes and new editions of the Statute of the Exchange, the Exchange Board regulations, Exchange Executives Regulations, Audit commission Regulations are approved.
Also, at meeting shareholders have elected new structure of Exchange Board:
- Kozak T.M.
- Sukhorukov A.V.
- Yershov A.M.
- Matsuyev D.V.
- Lazarev D.E.
- Gerus A.M.
- Yakovenko U.B.
- Korobkova E.A.
- Popovich T.N.
Following the results of shareholders voting, Oleg Tkachenko has been elected for the Chief Executive Officer of PJSC "Ukrainian Exchange", Evgeny Komissarov and Elena Brykina have joined to the Exchange Executives as well.
Members of Audit commission have been elected:
- PJSC IC "INEKO";
- LLC "I-NVEST".
"The 3 of the 9 members of the Board are independent directors - for the first time in history of the exchange. According to the recent changes in local legislation, independent directors will be obligatory for public companies since 2018. We decided to be ahead of the requirements and to show all the companies traded on the exchange a good example of corporate governance" - Alexey Sukhorukov, Managing Partner of the UNIVER investment Group, commented on results of the general meeting of shareholders.
Denys Matsuyev from "Dragon Capital" added: "First of all we are interested in the banks that will be involved to exchange trading because we understand, that in the near future the main trade turnover will consist of fixed income securities and derivatives"
